What exactly happens at U.S. mid-term elections?

At the federal level, ALL of the seats for the House of Representatives are voted on and one-third of the US Senate. Some states schedule their state-wide elections (governor, treasurer, etc) then, and there is always some sort of local election going on, too (town council seats, school referenda, etc.)

What makes it complicated to you?

Ah! You are from Canada. The US House of Representatives (the lower house) consists of 435 members who are elected every 2 years.

The US Senate (the upper house) consists of 100 members and they are elected for 6 year terms on a staggered, rotating schedule. 34 were up for election this last cycle. In 2014, a different 33 will face election, and then in 2016 the last 33 will have their election.

Every state has to elect thier representatives and leadership. They can do it whenever they want. Some just choose to do it at the same time as the mid-term elections. Same with town councils. It just happens that is when they decided to hold them.

Congressional seats not voted upon during the Presidential election ... are voted for.

There are seats in Congress that don't get occupied during presidential elections?! O.o

They are occupied ... but Congressional elections are rotated so that not every member of Congress is voted upon during the same year.
