Incomplete dominance occurs when the alleles that have been received by parents are neither dominant nor recessive but combine together and make a physical trait that is somewhere in between the two traits. Codominance is where an offspring receives neither dominant nor recessive genes.

1.Co-dominance is the situation where two different alleles of a gene pair express themselves completely, instead of showing dominant-recessive relationship.In-complete dominance is the situation where,in heterozygous genotypes, both the alleles express as a blend and neither allele is dominant over the other. 2.co-dominance shows a phenotype that is different from both homozygous parents. In in-complete dominance an intermediate genotype is expressed. 3.Example of co-dominance is expression of human blood group AB.Example of in-complete dominance is the flower color of Four O clock plant.
