http://support.microsoft.com/kb/921113 is a hotfix from Microsoft to fix the problem. If you have Nero Essentials remove NMBgMonitor using msconfig and that will fix the issue.

It's just a program that doesn't stop running when you tell Windows to shut down. Just leave it so it will shut the program down automatically, or press the "End now" button to speed up the process.
